Beschreibung

KfW requires legal advice regarding its banking and capital market activities in the United States of America (“USA”) or having a nexus to the USA. To this end, KfW seeks to conduct an agreement governed by German law for an initial period starting 1 June 2024 until 30 June 2028 with one law firm (or a group of law firms). KfW may initially prolongate the agreement up to a maximum term of around 6 years (30 June 2030) and thereafter, in consultation with the law firm) for any period of time.

The advice sought comprises all matters regarding KfW`s capital market activities and activities related to it under US Law including, without limitation, all communication, statements and filings to be made with the SEC and other regulators and the conclusion of related agreements. Furthermore, advice on matters under the U.S. Securities Act of 1933, the U.S. Securities Exchange Act of 1934 and related US legislation as well as on all matters regarding KfW under applicable banking and financial regulatory law of the USA and its federal states may fall under the scope of this agreement.

Professional risk indemnity insurance covering damages and financial losses caused by poor performance of legal services with a minimum cover of 150 million euro for damages and financial losses per claim with an insurance company of good standing.

Professional qualification of the persons responsible for the execution of the tendered contract 6. List of the Candidate’s references from contracts performed in the past MINIMUM REQUIREMENTS: 1. The description must evidence practice in the area of banking and capital market law of the USA and its federal states. The law firm must have own offices in Europe (preferably Frankfurt a.M.) and USA (preferably New York or Washington D.C.). 2. The law firm must have experience with advising on the banking and capital market law of the USA and its federal states with respect to SEC registered programmes and takedowns of at least 20 years. 3. The economic operator must evidence in the category “legal counsel deployed in the practice banking and capital market law of the USA and its federal states in offices in the USA and in Europe” at least a total number of 10 legal counsel according to the categories of this public procurement procedure (“partner”, “counsel”, “senior associate” and “junior associate” as defined in the specifications) in each and every year in the last three financial years available. 4. none 5. Staffing and qualification: a) The Core Team must comprise a partner, a counsel and a senior associate according to the categories of this public procurement procedure. Those are as follows: - Partner: At least 10 years of professional experience in the field(s) of law, that shall be subject of the advice. According to the constitution of the law firm, the legal counsel must be fully entitled to co-determine internal decisions. - Counsel At least 8 years of professional experience in the field(s) of law, that shall be subject of the advice. - Senior Associate At least 3 years of professional experience in the field(s) of law, that shall be subject of the advice. b) All members must be admitted as Attorney at Law at the New York Bar Association or other bar association in the USA. c) The partner of the Core Team must have at least 15 years of experience with US securities law and at least 10 years of experience with Schedule B issuers and their access to the US capital market via registered offerings and/or debt issuance programmes. d) All members of the Core Team must have at least 3 years of experience with Schedule B issuers and their access to the US capital market via registered offerings and/or debt issuance programmes. e) All members of the Core Team must be familiar with relevant disclosure obligations of sovereigns, such as the guarantor of the issuer, the Federal Republic of Germany. f) At least one member of the Core Team must be on a native level in English while the other members of the core team must be at least fluent in English. g) Either the senior associate or the counsel must be on a native level in German while the other members of the Core Team must be fluent in German. h) At least one member of the Core Team must be located in a European office (preferably Frankfurt a.M.). 6.
